Shell has agreed to sell its entire interest in the Shell Nigeria Gas Group to Nigerian energy company Vaaris Energy Limited, marking its exit from the country’s domestic gas distribution business.
CDA News Nigeria reports that Shell Petroleum B.V. announced the agreement in a statement on Tuesday, October 13, 2026. The sale covers Shell Nigeria Gas Holding B.V., established in 2019, which owns all but one of the shares in Shell Nigeria Gas Limited, founded in 1998.
CDA News Nigeria gathered that the business supplies natural gas to industrial and commercial customers through about 170 kilometres of pipelines across Ogun, Abia and Rivers states. Reports say it serves more than 130 connected customers.
Shell’s Country Chair in Nigeria, Elohor Aiboni, said the business had served customers for more than 25 years. She said Shell continues to focus on its strategic deepwater and integrated gas positions in Nigeria.
The deal is subject to regulatory approvals and other conditions, and no closing date has been announced. The financial terms were not disclosed. Until the transaction is completed, Shell Nigeria Gas will remain part of Shell and continue to operate and serve its customers as usual.
Shell said the business does not take part in upstream gas production, liquefied natural gas operations or international gas trading. It will keep its deepwater interests and its stake in Nigeria LNG.
At the time of filing, Vaaris Energy had not set out its plans for prices, staff or the pipeline network. The announcement follows Shell’s earlier sale of its onshore oil business in the country.
